These Terms & Conditions (“Terms”) govern your access to and use of NaviCare360’s websites, applications, APIs, and related services (collectively, the “Services”) provided by NaviCare360, LLC (“NaviCare360,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Client: An organization (e.g., provider group, facility, payer, or other entity) that has a written agreement with NaviCare360 to use the Services.
End User: A person authorized by a Client to use the Services (including clinicians, staff, patients, caregivers, or family members).
PHI (Protected Health Information): As defined under HIPAA.
Location Data: GPS or other location-based information collected or processed through the Services.
NaviCare360 provides a technology platform designed to support care coordination, navigation, communication, and location awareness across post-acute and related care settings.

Certain features may use Location Data to support coordination and navigation. Location tracking may be inaccurate, delayed, unavailable, or interrupted and is not intended for emergency reliance.
As part of care coordination, onboarding, navigation, and pilot program activities, NaviCare360 and/or its authorized Clients may contact End Users, patients, caregivers, Medical Power of Attorneys (MPOAs), family members, or other authorized representatives through text messages (SMS), phone calls, emails, or related electronic communications.
These communications may include, but are not limited to:
By providing contact information or participating in a Client-authorized program, the End User represents that they have the authority and consent necessary to receive such communications and, where applicable, to permit communications with authorized caregivers, MPOAs, or family representatives.
Message frequency may vary. Standard message and data rates from wireless carriers may apply.
End Users may opt out of non-essential text communications at any time by replying “STOP” or by contacting the applicable Client or NaviCare360. However, opting out may limit certain coordination or navigation-related functions of the Services.
NaviCare360 does not guarantee delivery, timing, or receipt of communications and is not responsible for delays or failures caused by wireless carriers, internet providers, device settings, or third-party communication systems.
Communications delivered through the Services are intended solely to support coordination and navigation activities and are not emergency communications or substitutes for direct clinical care, emergency response, or medical advice.
NaviCare360 processes Personal Information and PHI only on behalf of Clients and under applicable agreements, including HIPAA and HITECH when acting as a Business Associate.
Fees, pilot periods, renewals, and service levels are governed by the Client’s written agreement.
All Services, software, trademarks, and content are owned by NaviCare360 or its licensors.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
To the maximum extent permitted by law, NaviCare360 will not be liable for indirect, incidental, or consequential damages.
Clients agree to indemnify NaviCare360 for claims arising from misuse, failure to obtain consent, or violation of law.
We may suspend or terminate access if these Terms are violated or if required by law or security concerns.
These Terms are governed by the laws of the State of Texas.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
